CORPORATE PARALEGAL FOR THRIVING US LAW FIRM

We have an amazing opportunity for a highly experienced Corporate Paralegal to join a leading US Law Firm in the City of London. The successful Paralegal will be joining an extremely well-respected corporate practice recognised in the legal directories as having notable sector strengths in financial services and life sciences. Originating in the US, this firm is very well-established in the UK and is also growing globally.

The successful candidate will be an experienced Corporate Paralegal, who is professional, hardworking and driven to excel in their work. Highly organised, with brilliant attention to detail and excellent communication skills you will be confident in a client-facing role and be an ambassador for the firm at all times.

This is a full-time role based in the offices from Monday to Friday, with usual working hours form 9am to 6pm. Benefits include 27 days holiday (plus bank holidays), private health insurance and a gym membership. The company also has regular staff events and an annual international trip.

DUTIES TO INCLUDE:
• Reviewing and drafting of documentation, including corporate authorisations, share certificates, stock transfer forms and other ancillary documents
• Preparing and collating conditions precedent documentation and oversight of the conditions precedent process
• Company searches and due diligence
• Pre-completion matters, including proof-reading of documents
• Signing and closing arrangements for financing transactions
• Post-completion tasks, including preparation of transaction bibles, collating originals, file management and conditions subsequent
• Registrations and filings at Companies House
• Reviewing and negotiating reliance letters

ESSENTIAL CRITERIA:
• Prior Corporate / M&A Paralegal experience
• Good academics and a strong intellect
• The ability to work autonomously
• A quick learning with a great deal of initiative
• Excellent communication skills, both written and verbal
• Excellent checkable references
